The Football Association has charged League One Gillingham for allegedly racially victimising Mark McCammon, who was dismissed by the club back in 2011.
Chairman Paul Scally has also been charged in relation to the club's former player McCammon, who previously won £70,000 following an employment tribunal.
A statement from the FA said: "In both instances it is alleged that they failed to act in the best interests of the game, and/or brought the game into disrepute by committing an act of race victimisation by dismissing Mark McCammon."
Both Gillingham and Scally have until November 14 to respond.
